Corporate Attorney - M&A (Remote)

About the role

We are seeking an experienced Corporate Attorney specialized in mergers and acquisitions to work on a contract basis. The role is fully remote and supports a global technology leader in executing strategic corporate transactions.

Key responsibilities

• Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and related documents.
• Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
• Advise on corporate governance matters, including board and shareholder meetings and regulatory compliance.
• Structure and document corporate reorganizations, joint ventures, and strategic alliances.
• Coordinate with internal stakeholders, external counsel, and regulatory bodies to ensure smooth transaction execution.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active bar membership in good standing.
• Minimum of 5 years of experience in corporate law with a focus on M&A.
• Proven ability to manage multiple projects independently.

Required skills

• Proficiency with legal research tools such as Westlaw.
• Proficiency with legal research tools such as LexisNexis.

What we offer

• Hourly compensation ranging from $40 to $70.
