Corporate Attorney – Remote M&A Specialist

About the role

We are seeking a seasoned Corporate Attorney to join our global technology team on a contract basis. Working remotely, you will lead the legal aspects of mergers and acquisitions, ensuring each transaction is executed with precision and compliance.

Key responsibilities

• Draft, review, and negotiate definitive agreements and ancillary transaction documents.
• Conduct comprehensive legal due diligence for mergers, acquisitions, and divestitures.
• Advise internal stakeholders on corporate governance, securities laws, and regulatory compliance.
• Coordinate with cross‑functional teams to align legal strategy with business objectives.
• Provide guidance on transaction structure, risk allocation, and deal terms throughout the deal lifecycle.

Required profile

• Admission to practice law in at least one U.S. jurisdiction.
• Demonstrated M&A experience, including drafting and negotiating SPAs and asset purchase agreements.
• Strong analytical and problem‑solving abilities with meticulous attention to detail.
• Ability to work independently and manage multiple priorities in a fast‑paced environment.

Required skills

• Knowledge of securities laws, corporate governance, and regulatory compliance.
