About the role
We are seeking a qualified Investment Funds Attorney to join a leading global investment management firm on a contract basis. The role is fully remote and focuses on providing legal guidance for fund formation, compliance, and transactional matters across a variety of asset classes.
Key responsibilities
- Draft, review, and negotiate fund documents including limited partnership agreements, side letters, and subscription agreements.
- Advise on regulatory compliance under securities laws, ERISA, and tax regulations.
- Conduct due diligence for fund investments and identify potential conflicts of interest.
- Assist with fund closings, capital calls, and distributions.
- Monitor regulatory developments to ensure fund operations remain compliant.
Required profile
- Admission to practice law in a U.S. jurisdiction.
- Minimum of 3 years’ experience in funds or investment management law.
- Strong analytical and problem‑solving abilities with meticulous attention to detail.
Required skills
- Fund formation and transactional documentation.
- Regulatory compliance under securities laws, ERISA, and tax regulations.
- Knowledge of Regulation D, Regulation S, and Rule 10b‑5.
