M&A Attorney – Remote Contract Role

About the role

We are seeking an experienced M&A Attorney to join a leading technology, information and internet company on a contract basis. This fully remote position allows you to work from anywhere while providing legal expertise for high‑impact mergers and acquisitions.

Key responsibilities

• Draft, review, and negotiate merger and acquisition agreements, including purchase, asset purchase, and stock purchase agreements.
• Conduct thorough due diligence on target entities and identify legal risks.
• Advise on corporate governance, compliance, and regulatory matters related to M&A transactions.
• Collaborate with finance, tax, and operations teams to ensure smooth transaction execution.
• Ensure all transaction documentation complies with legal standards and mitigates liabilities.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum of 3 years of experience handling M&A transactions.
• Strong knowledge of corporate law, securities regulations, and contract drafting.
• Experience with both domestic and cross‑border M&A deals.
