In-house Counsel – Remote Corporate Attorney

About the role

We are seeking an experienced corporate attorney to join a fast‑growing technology platform as an In‑house Counsel. This remote, contract‑based role will provide legal guidance on governance, compliance, and transactional matters, supporting the company’s expansion and operational needs.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as service agreements, partnership agreements, and vendor contracts.
• Advise on corporate governance, including board and shareholder meetings, corporate policies, and compliance with state and federal regulations.
• Ensure adherence to data privacy, security, and other regulatory requirements.
• Manage corporate filings, maintain minute books, stock ledgers, and corporate certificates.
• Provide legal support for mergers, acquisitions, and other corporate transactions as required.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum of 5 years of corporate law experience, focusing on transactional and compliance work.
• Proven ability to work independently in a remote environment.
