Investment Funds Attorney (Remote)

About the role

We are seeking a qualified Investment Funds Attorney to join a leading global investment management firm on a contract basis. The position is fully remote and focuses on providing legal guidance for fund formation, compliance and transactional matters across a range of asset classes.

Key responsibilities

• Draft, review and negotiate fund documents such as limited partnership agreements, side letters and subscription agreements.
• Advise on regulatory compliance under securities laws, ERISA and tax regulations.
• Conduct due‑diligence reviews for fund investments and identify potential conflicts of interest.
• Support fund closings, capital calls and distribution processes.
• Monitor regulatory developments and ensure ongoing fund operations remain compliant.

Required profile

• Admission to practice law in a U.S. jurisdiction.
• Minimum three years of experience in funds or investment‑management law.
• Demonstrated ability to handle complex fund formation and compliance matters.

Required skills

• Fund formation and structuring.
• Regulatory compliance (securities laws, ERISA, tax).
• Knowledge of Regulation D, Regulation S and Rule 10b‑5.
• Due‑diligence and conflict‑of‑interest analysis.
• Drafting and negotiating fund documentation.
