Legal Counsel

About the role

The Legal Counsel will provide comprehensive legal support to a fast‑growing fintech company operating in Pakistan. Reporting to senior management, the role involves drafting and reviewing contracts, ensuring regulatory compliance, and advising on corporate governance matters.

Key responsibilities

• Draft, review and negotiate business contracts, corporate documents, and employment agreements.
• Conduct legal research on local laws, especially NBFC/NBMFC regulations and digital lending frameworks, and deliver clear legal opinions.
• Prepare board and shareholders’ resolutions, maintain statutory registers, minutes and filings with the Securities and Exchange Commission of Pakistan (SECP) and other authorities.
• Liaise with SECP, State Bank of Pakistan and other regulators to maintain licensing status, including managing the NBMFC license application and ongoing compliance.
• Support the compliance function by monitoring regulatory developments, conducting risk assessments, and implementing AML/CFT, KYC/CDD and Personal Data Protection Act (PDPA) policies.
• Manage relationships with external law firms and provide specialized legal advice as needed.
• Perform additional legal, compliance and administrative duties assigned by management.

Required profile

• LL.B. degree and a valid Advocate’s License issued by the Pakistan Bar Council or a provincial bar council; LL.M. from an English‑speaking jurisdiction is a plus.
• 3–6 years of post‑qualification legal experience, preferably in fintech, consumer finance, online lending or NBFC environments.
• Fluent written and spoken English; knowledge of Mandarin is an advantage.
• Strong understanding of SECP regulations, NBFC Rules 2008, financial and consumer protection laws, digital lending, PDPA and AML/CFT requirements.
• Excellent contract drafting, legal research and negotiation abilities.
• Highly responsible, detail‑oriented and an effective communicator.
