Remote In-house Counsel – Corporate Law

About the role

We are seeking an experienced corporate attorney to join a fast‑growing technology platform as an in‑house counsel. This fully remote position offers the chance to shape corporate governance, compliance, and transactional strategies for a global leader in the internet industry.

Key responsibilities

• Draft, review, and negotiate a variety of commercial contracts, including service, partnership, and vendor agreements.
• Advise senior leadership on corporate governance matters, board and shareholder meetings, and regulatory compliance.
• Maintain corporate filings, minute books, stock ledgers, and certificates to ensure accurate corporate records.
• Support mergers, acquisitions, and other strategic transactions with legal due diligence and documentation.
• Monitor data privacy and security regulations to guarantee compliance with internal policies and external laws.

Required profile

• Juris Doctor (JD) from an accredited law school and active bar membership in a U.S. state.
• Minimum of 5 years of corporate law experience, focusing on transactions and compliance.
• Proven ability to work independently in a remote environment with minimal supervision.

Required skills

• Expertise in drafting and negotiating complex commercial contracts.
• Strong knowledge of corporate governance, regulatory requirements, and compliance frameworks.
• Experience managing corporate filings and maintaining corporate records.
