Remote In-house Counsel – Corporate Law

About the role

We are seeking an experienced corporate attorney to join a leading technology platform on a remote basis. The role focuses on providing legal counsel for corporate governance, compliance, and transactional matters, supporting the company’s rapid growth and global operations.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as service, partnership, and vendor agreements.
• Advise on corporate governance, including board and shareholder meetings, and ensure compliance with state and federal regulations.
• Maintain corporate filings, minute books, stock ledgers, and corporate certificates.
• Support data privacy, security compliance, and internal policy adherence.
• Provide legal assistance for mergers, acquisitions, and other corporate transactions as needed.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum of 5 years of corporate law experience, focusing on transactions and compliance.
• Proven ability to work independently in a remote environment.

Required skills

• Expertise in drafting and negotiating complex commercial contracts.
• Strong knowledge of corporate governance and regulatory requirements.
• Experience managing corporate filings and records.
• Understanding of data privacy and security regulations.
