Corporate M&A Attorney (Remote)

About the role

We are seeking an experienced Corporate M&A Attorney to join a leading technology and internet company on a contract basis. The position is fully remote, allowing you to work from anywhere while providing legal guidance on mergers, acquisitions, joint ventures and other strategic corporate transactions.

Key responsibilities

• Draft, review and negotiate merger and acquisition agreements, asset purchase agreements and related transaction documents.
• Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
• Advise internal teams on corporate governance, board and shareholder matters, and ensure compliance with state and federal regulations.
• Structure and document corporate reorganizations, joint ventures and strategic alliances.
• Coordinate with external counsel, regulatory bodies and internal stakeholders to facilitate smooth transaction execution.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active bar membership in good standing.
• Minimum of 5 years of experience in corporate law with a focus on M&A.
• Proven ability to manage multiple projects independently.

Required skills

• Strong drafting and negotiation skills for transactional documents.
• Proficiency with legal research tools such as Westlaw and LexisNexis.
