In-house Counsel (Remote)

About the role

We are seeking an experienced In‑house Counsel to join a fast‑growing technology platform on a contract basis. Working remotely, you will provide legal guidance on corporate governance, compliance, and transactional matters, helping the company navigate regulatory requirements and commercial agreements.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as service, partnership, and vendor agreements.
• Advise on corporate governance, including board and shareholder meetings, corporate policies, and compliance with state and federal regulations.
• Ensure adherence to data privacy, security, and other applicable laws.
• Maintain corporate filings, minute books, stock ledgers, and certificates.
• Support mergers, acquisitions, and other corporate transactions as needed.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum 5 years of corporate law experience focused on transactions and compliance.
• Proven ability to work independently in a remote environment.

• Corporate governance and regulatory compliance expertise.
