Corporate Attorney - M&A (Remote)

About the role

We are seeking an experienced Corporate Attorney specializing in Mergers & Acquisitions to join a global technology leader on a contract basis. This fully remote position allows you to provide strategic legal guidance on corporate transactions, partnerships, and reorganizations from anywhere.

Key responsibilities

• Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and related transaction documents.
• Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
• Advise on corporate governance matters, including board and shareholder meetings, and ensure compliance with state and federal regulations.
• Structure and document corporate reorganizations, joint ventures, and strategic alliances.
• Coordinate with internal stakeholders, external counsel, and regulatory bodies to facilitate smooth transaction execution.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active bar membership in good standing.
• Minimum of 5 years of experience in corporate law with a focus on M&A.
• Strong drafting and negotiation abilities for transactional documents.
• Ability to manage multiple projects independently.
