Corporate Attorney – Remote M&A Specialist

About the role

We are seeking a seasoned Corporate Attorney to join our remote legal team, focusing on mergers and acquisitions for a global technology leader. The role involves drafting, negotiating and reviewing transaction documents while ensuring regulatory compliance.

Key responsibilities

• Draft, review and negotiate definitive agreements and ancillary transaction documents such as SPAs and asset purchase agreements.
• Conduct comprehensive legal due diligence for mergers, acquisitions and divestitures.
• Advise internal stakeholders on corporate governance, compliance and regulatory matters.
• Coordinate with cross‑functional teams to align legal strategy with business objectives.
• Provide guidance on transaction structure, risk allocation and deal terms.

Required profile

• Admission to practice law in at least one U.S. jurisdiction.
• Proven M&A experience, including drafting and negotiating transaction agreements.
• Strong knowledge of securities laws, corporate governance and regulatory compliance.
• Excellent analytical and problem‑solving abilities with attention to detail.
• Ability to work independently in a fast‑paced, remote environment.
