Corporate M&A Attorney (Remote)

About the role

We are seeking an experienced Corporate/M&A Attorney to join a global technology leader on a contract basis. The role is fully remote and focuses on providing legal guidance for mergers, acquisitions, strategic partnerships, and related corporate transactions.

Key responsibilities

• Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and other transaction documents.
• Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
• Advise on corporate governance matters, including board and shareholder meetings and regulatory compliance.
• Structure and document corporate reorganizations, joint ventures, and strategic alliances.
• Liaise with internal stakeholders, external counsel, and regulatory bodies to ensure smooth transaction execution.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active bar membership in good standing.
• Minimum 5 years of experience in corporate law with a focus on M&A.
• Proven ability to manage multiple projects independently.

Required skills

• Proficiency with legal research tools such as Westlaw.
• Proficiency with legal research tools such as LexisNexis.
