Head of Legal

About the role

ZIGChain and Zamanat are looking for a Legal Director to build and lead the legal function across both entities. This senior, hands‑on role blends deep regulatory and compliance expertise with operational discipline, focusing on web3, digital assets, and institutional finance.

Key responsibilities

• Build, structure and lead a legal team, including hiring, onboarding and performance management.
• Set objectives, workflows and reporting lines; manage outside counsel relationships and budgets.
• Own regulatory, licensing and compliance requirements across jurisdictions, engage with regulators and auditors, and maintain AML/KYC, sanctions and data‑protection frameworks.
• Provide legal expertise for financial product structuring, SPV governance, entity and jurisdictional selection, and negotiate agreements with banking partners, custodians and exchanges.
• Advise on token issuance, distribution and management, and lead legal workstreams for capital raises (equity, convertible, token sales, etc.).
• Design and manage onboarding due‑diligence standards for clients and entities, drafting and negotiating related documentation.

Required profile

• Extensive experience in banking or institutional finance, with a strong background in regulatory compliance.
• Relevant experience in web3, digital assets or token‑based projects.
• Proven ability to build and lead high‑performing legal teams.
• Strong stakeholder management and communication skills with regulators, auditors and business partners.
