Investment Funds Attorney (Remote)

About the role

We are seeking an experienced Investment Funds Attorney to join a leading global investment management firm on a contract basis. The role is fully remote and focuses on providing legal guidance for fund formation, compliance, and transactional matters across multiple asset classes.

Key responsibilities

• Draft, review, and negotiate fund documents such as limited partnership agreements, side letters, and subscription agreements.
• Advise on regulatory compliance under securities laws, ERISA, and tax regulations.
• Conduct due diligence for fund investments and identify potential conflicts of interest.
• Assist with fund closings, capital calls, and distributions.
• Monitor regulatory developments and ensure fund operations remain compliant.

Required profile

• Admission to practice law in a U.S. jurisdiction.
• Minimum of 3 years’ experience in funds or investment‑management law.
• Strong analytical and problem‑solving abilities with meticulous attention to detail.

Required skills

• Proficiency in fund formation, compliance, and transactional documentation.
• Knowledge of securities regulations, including Regulation D, Regulation S, and Rule 10b‑5.
