Junior Legal Associate – In‑house Counsel (Karachi)

About the role

We are seeking a Junior Legal Associate to join our in‑house legal team in Karachi. Working under the supervision of the Legal Counsel and Director Legal, you will support a broad range of commercial, corporate, regulatory and data‑protection matters across our technology and cybersecurity businesses.

Key responsibilities

• Prepare first‑drafts of standard agreements (NDAs, service agreements, consultancy agreements, vendor contracts, statements of work) using templates.
• Assist senior lawyers in reviewing MSAs, SaaS, software licensing, reseller and distribution agreements, flagging deviations from standard positions.
• Create issue lists, clause comparisons and summary notes to support negotiations.
• Proofread and quality‑check documents, ensuring correct terms, cross‑references, schedules and signature blocks.
• Maintain and update contract templates, clause library and playbooks.
• Draft board and shareholder resolutions, minutes, notices and powers of attorney from precedents.
• Maintain statutory registers, corporate records, entity trackers and filing calendars; prepare SECP, ADGM and other regulatory filings.
• Support corporate transactions and restructurings by preparing execution packs, condition‑precedent checklists and closing bibles.
• Assist with data‑protection agreements, standard contractual clauses, GDPR compliance and vendor due‑diligence documentation.

Required profile

• Recent law graduate or early‑career lawyer with a solid legal foundation.
• Strong drafting ability and keen eye for inconsistencies in contracts.
• Willingness to learn quickly and take on increasing responsibility under mentorship.
• Interest in commercial, corporate, regulatory and data‑protection work.

Required skills
