Legal Director

About the role

ZIGChain and Zamanat are looking for a Legal Director to build and lead the legal function across both entities. This senior, hands‑on position combines deep regulatory and compliance expertise with operational leadership, focusing on web3, digital assets, and institutional finance.

Key responsibilities

• Build, structure and lead the legal team, including hiring, onboarding and performance management.
• Set team objectives, workflows, reporting lines and manage outside‑counsel relationships and budgets.
• Own all regulatory, licensing and compliance requirements across jurisdictions, engaging with regulators, licensing bodies and auditors.
• Design and maintain AML/KYC, MLRO, sanctions, market conduct and data‑protection frameworks.
• Provide legal expertise on financial product structuring, SPVs, entity and jurisdictional selection.
• Negotiate and draft agreements with banking partners, custodians, exchanges and institutional counterparties.
• Advise on token issuance, distribution and ongoing token management.
• Lead legal workstreams for capital raises via equity, preference shares, convertibles, token sales and other instruments.
• Manage legal and compliance workflows for client and entity onboarding, including due‑diligence standards.

Required profile

• Senior legal professional with a background in banking or institutional finance.
• Proven experience in web3, digital assets or related regulatory environments.
• Demonstrated ability to build and lead a legal function from the ground up.
• Strong track record of managing regulatory licensing, compliance frameworks and stakeholder engagement.
• Experience structuring financial products, SPVs and token‑related transactions.
