M&A Attorney – Remote Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology, information and internet company on a contract basis. This fully remote position involves providing expert legal guidance on mergers, acquisitions, and related corporate transactions.

Key responsibilities

• Draft, review, and negotiate merger and acquisition agreements, including purchase, asset purchase, and stock purchase agreements.
• Conduct thorough due diligence on target entities, identifying legal risks and liabilities.
• Advise on corporate governance, compliance, and regulatory matters specific to M&A deals.
• Collaborate with finance, tax, and operations teams to ensure smooth transaction execution.
• Ensure all transaction documentation meets legal standards and mitigates potential liabilities.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in a state bar association.
• Minimum of 3 years of hands‑on experience in M&A transactions.
• Strong knowledge of corporate law, securities regulations, and contract drafting.
• Experience with both domestic and cross‑border M&A deals.
