M&A Attorney – Remote Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology and internet company on a contract basis. The position is fully remote, allowing you to work from anywhere while providing legal expertise for high‑impact mergers and acquisitions.

Key responsibilities

• Draft, review, and negotiate purchase agreements, asset purchase agreements, and stock purchase agreements.
• Conduct thorough due diligence on target entities and identify legal risks.
• Advise on corporate governance, securities regulations, and compliance matters related to M&A transactions.
• Collaborate with finance, tax, and operations teams to ensure smooth transaction execution.
• Maintain transaction documentation that meets legal standards and mitigates liabilities.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar with at least 3 years of M&A experience.
• Strong knowledge of corporate law, securities regulations, and contract drafting.
• Experience with both domestic and cross‑border M&A transactions.

Required skills

• Legal drafting and negotiation of M&A agreements.
• Due‑diligence analysis and risk assessment.
• Understanding of corporate governance and regulatory compliance.
