M&A Attorney – Remote Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology and internet firm on a contract basis. The role is fully remote, allowing you to work from anywhere while providing legal expertise on high‑impact mergers, acquisitions, and corporate transactions.

Key responsibilities

• Draft, review, and negotiate purchase agreements, asset purchase agreements, and stock purchase agreements.
• Conduct thorough due diligence on target entities and identify legal risks.
• Advise on corporate governance, compliance, and securities regulations related to M&A deals.
• Collaborate with finance, tax, and operations teams to ensure smooth transaction execution.
• Maintain transaction documentation that meets legal standards and mitigates liabilities.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in a state bar association.
• Minimum of three years of hands‑on experience in M&A transactions.
• Experience with both domestic and cross‑border deals.

Required skills

• Strong knowledge of corporate law, securities regulations, and contract drafting.
• Ability to analyze complex legal documents and pinpoint critical issues.
