M&A Attorney (Remote)

About the role

We are seeking an experienced M&A Attorney to join our client on a contract basis. This remote position involves providing legal expertise for mergers, acquisitions, and corporate transactions within a leading technology and internet company.

Key responsibilities

• Draft, review, and negotiate merger and acquisition agreements, including purchase, asset purchase, and stock purchase agreements.
• Conduct due diligence on target entities, identifying legal risks and liabilities.
• Advise on corporate governance, compliance, and regulatory matters related to M&A transactions.
• Coordinate with cross‑functional teams such as finance, tax, and operations to facilitate transaction execution.
• Ensure all transaction documentation adheres to legal standards and mitigates potential liabilities.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in a state bar association.
• Minimum of 3 years of experience handling M&A transactions.
• Strong understanding of corporate law, securities regulations, and contract drafting.
• Experience with both domestic and cross‑border M&A transactions.
