Remote M&A Attorney – Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology and internet company on a contract basis. This fully remote position allows you to apply your legal expertise to high‑impact mergers and acquisitions while collaborating with cross‑functional teams worldwide.

Key responsibilities

• Draft, review, and negotiate purchase agreements, asset purchase agreements, and stock purchase agreements.
• Conduct thorough due diligence on target entities and identify legal risks.
• Advise on corporate governance, compliance, and regulatory matters related to M&A transactions.
• Coordinate with finance, tax, and operations teams to ensure smooth transaction execution.
• Ensure all transaction documentation complies with legal standards and mitigates liabilities.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in a state bar association.
• Minimum three years of experience handling M&A transactions.
• Experience with both domestic and cross‑border deals.

Required skills

• Strong understanding of corporate law, securities regulations, and contract drafting.
• Ability to analyze complex legal documents and pinpoint critical issues.
