M&A Corporate Attorney – Remote Contract

About the role

We are seeking a contract M&A Corporate Attorney to provide expert guidance on securities filings, corporate governance, and transaction compliance for a global financial services leader. This remote position offers the chance to work on multi‑billion‑dollar deals while ensuring regulatory precision.

Key responsibilities

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Prepare and file SEC documents such as Forms S‑1, S‑3, 8‑K, and 10‑K.
• Advise on corporate governance matters, including board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Liaise with external counsel, investment banks, and regulatory bodies as needed.

Required profile

• Licensed attorney in good standing with a focus on securities law.
• Minimum five years of experience in M&A and corporate law, including SEC filing expertise.
• Strong drafting and negotiation abilities for transactional documents.
• In‑depth knowledge of corporate governance best practices and compliance.
• Proven ability to manage multiple deadlines in high‑pressure environments.
