Senior Manager Governance-Legal & Corporate Affairs

About the role

We are seeking a Senior Manager to lead Governance, Legal and Corporate Affairs for a leading bank. The role combines board secretarial duties, corporate governance oversight and legal advisory to support senior management and regulators.

Key responsibilities

• Manage Board of Directors and Committee processes, including meeting planning, agenda preparation, paper circulation, minute taking and resolution tracking.
• Prepare and maintain governance documentation, statutory registers, corporate records and ensure compliance with SBP Prudential Regulations, SECP, Companies Act 2017 and other legal requirements.
• Monitor and report on board decisions, regulatory commitments, audit observations and governance action items.
• Provide legal advisory on regulatory, contractual and operational matters; draft, review and negotiate contracts, MOUs, NDAs and other legal documents.
• Coordinate with external counsel on litigation, legal opinions and regulatory matters.
• Support governance effectiveness initiatives such as board evaluations, director onboarding and training programs.
• Liaise with regulators, auditors and external advisors, facilitating inspections, audits and governance reviews.

Required profile

• Bachelor’s or Master’s degree in Law.
• Minimum 8 years of relevant experience, preferably in banking, micro‑finance, financial services or corporate governance.
• Proven experience coordinating board and committee processes and maintaining corporate records.
• Strong understanding of regulatory frameworks, including SBP, SECP and Companies Act.
