Corporate Affairs Executive

About the role

The Corporate Affairs Executive will support the Company Secretary in ensuring full compliance with regulatory requirements and corporate governance standards. This role is pivotal in coordinating board activities, maintaining statutory records, and liaising with regulators and auditors within a financial institution.

Key responsibilities

• Assist the Company Secretary in complying with applicable laws, regulations, and corporate governance requirements (SECP, SBP, Companies Act, etc.).
• Organise and coordinate Board of Directors and Committee meetings, preparing agendas, board packs, and minutes.
• Maintain and update statutory books, records, and registers in line with regulatory mandates.
• File statutory returns, forms, and disclosures with SECP, SBP, and other bodies within stipulated timelines.
• Coordinate regulatory submissions and documentation with internal departments and external stakeholders.
• Ensure proper documentation and record‑keeping of board and shareholders’ resolutions and corporate documents.
• Support shareholding and capital management records, including transfer, allotment, and registration processes.
• Handle corporate correspondence with regulators and auditors.
• Monitor regulatory framework updates and assist in implementing necessary compliance actions.
• Provide administrative and coordination support for corporate governance and compliance matters.

Required profile

• Bachelor’s degree in Law, Commerce, Business Administration, or a related field; professional qualification preferred.
• Minimum of 2 years’ experience in corporate secretarial or compliance functions within a financial institution.
• Familiarity with SECP, SBP regulations and corporate governance practices.
