Company Secretary

About the role

We are looking for an experienced and highly professional Company Secretary to act as the principal governance advisor to our Board of Directors and its committees. The role ensures statutory compliance, effective corporate governance, and smooth communication among the Board, management, shareholders, and regulators.

Key responsibilities

• Serve as Secretary to the Board of Directors and Board Committees.
• Organise Board, Committee, AGM, and EGM meetings and manage governance processes.
• Prepare agendas, minutes, resolutions, and Board papers.
• Ensure timely statutory filings and disclosures with SECP, CDC, and other regulators.
• Advise the Board and Management on governance and regulatory matters.
• Manage shareholder affairs, corporate actions, and governance documentation.
• Coordinate director training, Board evaluations, and governance awareness programmes.
• Maintain governance records, Board portals, and statutory registers.

Required profile

• LLB, MBA, CA, ACCA, ACIS/CGP or equivalent qualification (preferred).
• Minimum 15 years of experience in corporate governance, company secretariat, legal, compliance, or regulatory functions.
• Extensive experience within banking, financial services, or other regulated institutions.
