Corporate M&A Attorney (Remote)

About the role

We are seeking an experienced Corporate Attorney specialized in mergers and acquisitions to join a leading technology and internet company on a contract basis. The position is fully remote, allowing you to work from anywhere while providing strategic legal guidance on high‑value corporate transactions.

Key responsibilities

• Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and related transaction documents.
• Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
• Advise on corporate governance matters, including board and shareholder meetings and regulatory compliance.
• Structure and document corporate reorganizations, joint ventures, and strategic alliances.
• Coordinate with internal stakeholders, external counsel, and regulatory bodies to ensure smooth transaction execution.

Required profile

• Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
• Minimum of 5 years of experience in corporate law with a focus on M&A.
• Proven ability to manage multiple projects independently.

Required skills

• Strong drafting and negotiation skills for transactional documents.
• Proficiency with legal research tools such as Westlaw and LexisNexis.
