Corporate Attorney - M&A (Remote)

About the role

We are seeking an experienced Corporate Attorney specialized in mergers and acquisitions to join a leading technology and internet company on a contract basis. The position is fully remote, allowing you to work from anywhere while providing strategic legal support for high‑value corporate transactions.

Key responsibilities

• Draft, review and negotiate merger, acquisition and asset purchase agreements.
• Conduct comprehensive legal due diligence on target entities and identify associated risks.
• Advise internal teams on corporate governance, board and shareholder matters, and ensure compliance with state and federal regulations.
• Structure and document joint ventures, strategic alliances and corporate reorganizations.
• Coordinate with external counsel, regulatory bodies and cross‑functional stakeholders to facilitate smooth transaction execution.

Required profile

• Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
• Minimum five years of experience in corporate law with a focus on M&A.
• Proven ability to manage multiple deals simultaneously with minimal supervision.

Required skills

• Advanced drafting and negotiation of transactional documents.
• Proficiency with legal research platforms such as Westlaw and LexisNexis.
