M&A Attorney – Remote Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology, information and internet company on a contract basis. The role is fully remote, allowing you to work from anywhere while providing high‑impact legal support for mergers, acquisitions and related corporate transactions.

Key responsibilities

• Draft, review and negotiate purchase agreements, asset purchase agreements and stock purchase agreements.
• Conduct thorough due diligence on target entities, identifying legal risks and liabilities.
• Advise on corporate governance, securities regulations and compliance matters related to M&A deals.
• Collaborate with finance, tax and operations teams to ensure smooth transaction execution.
• Ensure all transaction documentation meets legal standards and mitigates potential liabilities.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar with at least 3 years of M&A experience.
• Strong knowledge of corporate law, securities regulations and contract drafting.
• Experience with both domestic and cross‑border M&A transactions.
