Executive Vice President / Senior EVP Company Secretary – Karachi

About the role

The National Bank of Pakistan is seeking an experienced Company Secretary at the Executive Vice President (EVP) / Senior EVP level to support the Board of Directors in Karachi. The role involves providing expert advice on corporate governance, legal, and regulatory matters, ensuring compliance with banking and corporate statutes, and facilitating effective board operations.

Key responsibilities

• Implement and monitor the Terms of Reference for all Board committees.
• Advise the Board and its committees on corporate governance, statutory, and regulatory issues.
• Ensure compliance with State Bank of Pakistan, SECP, and Pakistan Stock Exchange regulations.
• Oversee legal matters related to banking laws, corporate laws, and related litigation.
• Coordinate with compliance, audit, and corporate affairs functions within the bank.

Required profile

• Maximum age of 57 years at the application deadline.
• Master’s degree in Business Administration, Commerce, or Law from a recognized university.
• At least 15 years of experience in banking, financial services, or large state‑owned enterprises, with a minimum of 5 years as a Company Secretary.
• Preferable membership in a recognized professional accounting or secretarial body.

Required skills

• In‑depth knowledge of Corporate Governance and the legal framework governing banks and state‑owned enterprises in Pakistan.
• Strong understanding of the Banking Companies Ordinance, Banks Nationalization Act 1974, NBP Ordinance 1949, State‑Owned Enterprises Act 2023, Companies Act 2017, and PSX Listing Regulations.
• Excellent communication, planning, decision‑making, and problem‑solving abilities.
• Proficient in drafting and presenting complex legal and regulatory documents.
