Compliance & Corporate Paralegal

About the role

We are seeking a detail‑oriented, self‑driven Compliance & Corporate Paralegal to manage our state regulatory compliance and corporate entity functions in‑house. The role ensures Overjet remains in good standing across all jurisdictions, handles licensing footprints, and supports core corporate governance.

Key responsibilities

• Own and track Overjet’s multi‑state regulatory licensing portfolio, including industry‑specific licenses and registrations.
• Maintain a centralized compliance calendar for all licensing, registration, and filing deadlines.
• Prepare, file, and track regulatory submissions with state agencies and manage regulator correspondence.
• Support data protection and healthcare compliance programs (HIPAA, HITRUST) and maintain audit readiness.
• Maintain corporate good standing across states, handling annual reports, franchise tax filings, foreign qualifications, and certificates.
• Assist with contract management, corporate governance documentation, and board/committee meeting logistics.
• Manage entity formation, qualification, dissolution, and conversion filings domestically and internationally.

Required profile

• 3+ years experience in compliance, regulatory, or corporate paralegal roles with U.S. corporations.
• Proven ability to manage multi‑state licensing and corporate good‑standing obligations at scale.
• Strong organizational and project‑management skills with a track record of handling high volumes of deadlines independently.
• Excellent written communication and comfort corresponding directly with state agencies and regulators.

Required skills

• Knowledge of corporate governance principles and entity maintenance requirements.
• Familiarity with HIPAA, HITRUST, and state healthcare/business regulatory requirements.
