Principal Investment

About the role

Karandaaz Pakistan (KRN), a not-for-profit organization based in Islamabad, is seeking a Principal Investment professional. The role leads deal origination, structuring and execution, focusing on building relationships, conducting due diligence and driving profitable exits for small and medium-sized enterprises, supporting sustainable growth and job creation.

Key responsibilities

• Investment strategy: formulate and implement strategies focused on targeted sectors, and lead industry analysis (market size, structure, value chain, competition) for key target industries
• Deal origination: cultivate relationships with industry contacts, advisors, consultants, accounting firms and lawyers, and with C-level executives and business owners to drive referral transactions
• Deal structuring and execution: screen, value, structure and negotiate equity and quasi-equity investments; prepare investment committee documentation and lead due diligence covering commercial, financial, tax, legal and technical aspects
• Term sheets and documents: draft Shareholder Agreements, Share Subscription Agreements, Asset Purchase Agreements, Escrow Agreements and others as required
• Post-deal value creation: develop value creation plans, engage sponsors, monitor portfolio companies monthly and prepare annual performance and impact reports
• Exits: plan and execute exits, assess performance before exit, oversee due diligence and negotiate divestments
• Team leadership: lead a team of Associates and Analysts through coaching, mentoring and shadowing, and assist the CIO in managing transaction teams

Required profile

• Masters' degree or equivalent in Business, Economics, Accounting or a related discipline
• 8-10 years of experience in Principal Investing, Impact Investing, Investment Banking, Corporate Finance, Management Consulting or M&A
• Experience originating and executing private equity and/or corporate investment transactions as principal investor or advisor
• Professional exposure of working in Pakistan

Required skills

• Exceptional knowledge of business finance and financial analysis
• Impact investing principles and Sustainable Development Goals (SDGs)
• Good knowledge of accounting regulations
• Expert Microsoft Office (Excel, Word, PowerPoint) and Google Suite
• Strong English and Urdu, analytical and problem-solving skills, strong networking and teamwork skills
