Company Secretary – Corporate Governance & Compliance

About the role

Sadiq Gelatin Industries Limited (SGIL) is seeking a diligent Company Secretary to support its Board of Directors and senior management. The role focuses on ensuring robust corporate governance, statutory compliance, and effective board processes within a fast‑growing halal gelatin manufacturer.

Key responsibilities

• Organise and coordinate Board of Directors and Board Committee meetings, including notices, agendas, resolutions and minutes.
• Maintain statutory registers, corporate records and an annual compliance calendar.
• Ensure timely filings with the SECP and other regulatory bodies.
• Coordinate Annual General Meetings, Extraordinary General Meetings and shareholder‑related matters.
• Manage directors’ disclosures, conflict‑of‑interest declarations and related‑party transaction documentation.
• Support preparation of corporate governance and statutory sections of the annual report.
• Monitor changes in corporate law and advise management on compliance.
• Liaise with the Board, CEO, Finance, Legal, Internal Audit, external auditors and regulators.

Required profile

• Strong practical knowledge of the Companies Act, 2017 and SECP regulations.
• Familiarity with corporate governance standards and PSX/listed‑company requirements.
• Excellent organisational and communication skills.
• High level of confidentiality and professional integrity.

Required skills

• Knowledge of corporate secretarial software and filing systems (if any mentioned).
