Corporate Affairs Specialist

About the role

The Corporate Affairs Specialist will support Descon Engineering Limited’s Corporate & Legal Affairs function, ensuring robust corporate governance, regulatory compliance, and efficient legal administration across the organization.

Key responsibilities

• Coordinate and manage statutory, Board, Audit Committee, AGM, EGM, and shareholders’ meetings, including preparation of notices, agendas, board papers, minutes, resolutions, and maintenance of corporate records.
• Ensure compliance with corporate laws, regulatory requirements, and the Listed Companies (Code of Corporate Governance) Regulations, 2017.
• Maintain statutory records, compliance checklists, filings, and registers in both soft and hard copy formats.
• Liaise with regulatory authorities, government departments, auditors, consultants, and internal stakeholders on corporate, legal, and compliance matters.
• Conduct legal and regulatory research and keep management informed of key developments.
• Draft, review, and vet commercial and legal agreements such as MOUs, service agreements, project agreements, and settlement agreements.
• Support corporate structuring, restructuring, governance framework implementation, and cross‑border corporate matters.
• Assist in mergers, acquisitions, restructurings, and winding‑up processes, identifying and mitigating related risks.

Required profile

• LLB degree.
• Minimum 3–5 years of relevant experience, preferably in an in‑house legal/corporate role or a reputable law firm.
• Strong understanding of corporate laws, governance frameworks, and regulatory compliance.
• Excellent drafting, review, and negotiation abilities for legal and commercial agreements.
• Ability to manage multiple assignments while maintaining accuracy and confidentiality.

Required skills

• Proficiency in MS Word.
• Sound knowledge of IT systems and office productivity tools.
