Corporate Lawyer

About the role

Tax Nerd Pakistan is seeking a full‑time, on‑site Corporate Lawyer to join its Lahore office. You will work closely with the tax and consulting teams to provide comprehensive legal support to local and international clients.

Key responsibilities

• Review, draft and negotiate commercial contracts, shareholder agreements, policies and other corporate documents.
• Advise on company formation, corporate governance, restructurings, mergers and acquisitions, and cross‑border business structures.
• Interpret and apply corporate, tax and regulatory laws; ensure compliance with SECP and other authorities.
• Coordinate filings, registrations and corporate secretarial work.
• Conduct legal research, prepare opinions, memos and support dispute prevention and resolution strategies.
• Collaborate with tax and consulting teams on client matters and contribute to internal process improvements and knowledge‑sharing initiatives.

Required profile

• Strong expertise in corporate and commercial law, including company law, contract law and regulatory compliance.
• Proficiency in drafting and reviewing contracts, corporate resolutions, policies and legal opinions.
• Experience with corporate governance, incorporations, restructurings and M&A.
• Excellent legal research, analytical and risk‑assessment skills.
• Clear written and verbal communication, able to explain legal concepts to non‑legal stakeholders.
• Comfort with technology‑enabled tools, document‑management systems and digital workflows.
• Proactive, detail‑oriented and able to manage multiple matters and deadlines.
• LLB from a recognized institution; LLM or relevant international qualification is a plus.
• Bar membership and good standing with relevant professional bodies.
• Prior experience in a corporate law firm, in‑house legal department or professional‑services environment is strongly preferred.
