Financial Due Diligence Manager, QoE / M&A

About the role

ACE CPAs is a fast-growing CPA and advisory firm offering bookkeeping, tax and a growing Quality of Earnings and M&A advisory practice. It is hiring a Financial Due Diligence Manager to lead QoE engagements from data room to final report, running the analysis, reviewing the team's work, signing off workpapers and owning the quality of every report. The role is hybrid in Karachi (Gulistan-e-Johar) and follows US business hours, 9:00 AM to 6:00 PM EST.

Key responsibilities

• Lead buy-side and sell-side financial due diligence for corporate clients, private equity groups and lenders, scope engagements, set timelines and manage multiple concurrent deals.
• Analyze quality of earnings, EBITDA adjustments, net working capital, debt and debt-like items and cash flows, and identify transaction risks.
• Review workpapers prepared by analysts and seniors, ensure they are formula-driven and supported, and draft and finalize reports on findings, performance, adjustments and risks.
• Serve as the main client contact, train and coach juniors, coordinate with the accounting and tax teams, and improve templates and delivery processes.

Required profile

• Professional accounting qualification (CPA, CA, ACCA or equivalent); audit experience alone does not qualify.
• At least 6 years in transaction advisory, due diligence, audit or related finance work, including at least 3 years of direct QoE or FDD experience.
• Has led engagements personally, managed a team and reviewed analysts' work, and has built and reviewed QoE adjustments and net working capital analyses.
• Has drafted and signed off QoE or due diligence reports for clients, PE groups or lenders.
• Fluent English and availability during US business hours; preferred Big Four or national firm background, private equity and investment banking experience.

Required skills

• Strong US GAAP knowledge and advanced Excel and financial modeling.
• Comfortable with QuickBooks Online and Desktop.
• Preferred: comfort using AI tools for research, drafting and analysis.
