Head of Legal & Company Secretary

About the role

The Head of Legal & Company Secretary will lead the legal function and oversee corporate governance for NCGCL. Reporting to the CEO and Board, this senior professional ensures compliance with all regulatory requirements and supports the company’s guarantee and risk‑sharing activities.

Key responsibilities

• Provide timely legal advice on corporate, commercial, regulatory and operational matters to senior management and the Board.
• Draft, review, negotiate and vet contracts, guarantee agreements, MOUs and partnership documents.
• Manage litigation, arbitration and dispute resolution, including oversight of external counsel.
• Act as Company Secretary: organize Board and Committee meetings, prepare minutes, maintain statutory registers and ensure timely regulatory filings.
• Monitor legal and regulatory changes, advise on compliance impacts and support audits and inspections.

Required profile

• LL.B. (Hons) with a Master’s in Law preferred; qualified Advocate of the High Court (Supreme Court preferred).
• 5‑10 years post‑qualification experience, including at least 5 years in a senior legal/company secretarial role within a regulated financial institution.
• Demonstrated experience as Company Secretary of a public or unquoted company with direct Board and regulator interaction.

Required skills

• Excellent legal drafting, negotiation and contract management abilities.
• Strong knowledge of the Companies Act 2017, SECP regulations, corporate governance codes and financial sector regulatory frameworks.
• High level of integrity, discretion and sound judgment in handling confidential matters.
